Terms of Service

1. Contract Formation & Proposals

A legally binding agreement is formed upon the Client's written acceptance (via signed proposal, email confirmation, or purchase order) of a formal statement of work or quotation issued by DigitalWarden.

Unless otherwise agreed in writing, commercial proposals issued by DigitalWarden remain valid for 30 calendar days from the date of transmission.

2. Scope of Services

DigitalWarden delivers professional services in the following core areas:

• Web & Application Development: Custom web platforms, high-performance user interfaces, headless architectures, API integrations, and backend engineering.
• Cybersecurity & Code Auditing: Vulnerability assessments, source code reviews, penetration testing, and security posture reporting.
• Cloud Infrastructure & Hardening: Edge CDN deployment, container setup, secure cloud hosting, and multi-region failover configurations.
• Technical Advisory & SLA Support: Ongoing maintenance, performance tuning, and scheduled incident response.

3. Payment Terms & Invoicing

Standard commercial payment conditions apply unless explicitly specified in an individual Statement of Work:

• 40% Initial Deposit: Invoiced upon proposal sign-off prior to project kickoff.
• 60% Final Balance: Invoiced upon completion of agreed deliverables or production deployment.
• Payment Window: Invoices are payable within 15 calendar days from the date of issue via SEPA bank transfer or corporate wire.

4. Intellectual Property & Source Code Transfer

Upon full settlement of all corresponding invoices, all intellectual property rights, copyright, and custom source code developed exclusively for the Client transfer to the Client.

General-purpose libraries, pre-existing software tools, and third-party open-source components remain subject to their respective open-source licenses (such as MIT or Apache 2.0).

DigitalWarden reserves the right to include non-confidential project summaries and screenshots in its portfolio and case studies, unless a binding Non-Disclosure Agreement (NDA) states otherwise.

5. Client Collaboration & Approvals

The Client agrees to provide necessary brand materials, technical access credentials (such as DNS, cloud provider permissions, or repository invites), and timely feedback required for project milestones.

Delays resulting from unprovided prerequisites may lead to a proportional adjustment of delivery schedules.

6. 30-Day Defect Warranty

DigitalWarden warrants that all custom deliverables conform to agreed technical specifications for a period of 30 calendar days following production launch.

During this window, any reproducible bugs or defects attributable to DigitalWarden's code will be investigated and resolved at zero additional charge. This warranty does not cover issues resulting from unauthorized third-party modifications or external API deprecations.

7. Limitation of Liability

To the maximum extent permitted by applicable law, DigitalWarden's aggregate liability arising out of or in connection with any service shall not exceed the total fees paid by the Client for that specific project during the twelve (12) months preceding the claim.

Neither party shall be held liable for indirect, incidental, or consequential damages, including loss of profits or business interruption.

8. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Italy and the European Union.

The parties commit to resolving any dispute in good faith through amicable consultation. If an agreement cannot be reached, the competent courts of Italy shall have exclusive jurisdiction.
